This Manufacturer Agreement ("Agreement") is between StoreDash ("we," "the Platform")

and the manufacturer identified at registration ("Manufacturer," "you"). By registering

as a Manufacturer on StoreDash, you agree to this Agreement **and** to the StoreDash

Terms and Conditions, which are incorporated by reference.

1. Role of the Parties

• You are an **independent third-party manufacturer/supplier**. You are not an employee,

agent, partner, or representative of StoreDash.

• StoreDash is a coordination platform only. We are **not** the buyer, seller, reseller,

shipper, or a party to your transactions with Stores.

• Stores order products **directly from you**. Any sale is between you and the Store.

2. Your Promises

You represent and warrant that:

• All information you provide (company name, products, prices, lead times, contact

details) is accurate, current, and complete.

• You have the legal right to sell the products you list, and they comply with all

applicable laws and safety standards.

• You will **fulfill every order** placed through the Platform honestly and in good

faith, within the lead time you state (or the cutoff/lead time you configure).

• You will **honor the pricing and quantities** shown at the time a Store places an order.
• You will ship goods to the addresses/locations shown for each consolidated or direct

shipment, or promptly notify the affected Stores and StoreDash if you cannot.

• You will not list counterfeit, stolen, unsafe, or prohibited goods, and will not

engage in any deceptive or fraudulent conduct.

3. Orders, Lead Times, and Cutoffs

• You are responsible for setting and keeping your stated **lead time** and **order

cutoff** (the number of days before a scheduled shipment that orders close).

• Orders placed before your cutoff are expected to ship on that cycle's consolidated run;

orders after the cutoff roll to the next cycle, as described on the Platform.

• If you cannot meet a commitment, you must promptly notify the affected Stores and

StoreDash and work in good faith to resolve it.

4. Payment

• Stores pay you **directly** for goods (and, where applicable, freight), per the

arrangement between you and the Store. StoreDash does not collect, hold, process, or

transmit those payments and is not responsible for non-payment by a Store.

• You are responsible for your own invoicing, taxes, and compliance.

5. No Guarantee of Sales; Vetting

• StoreDash does not guarantee any volume of orders, sales, or revenue.
• StoreDash may review (vet) Manufacturers before or after onboarding and may suspend or

remove any Manufacturer at any time, for any reason, including suspected fraud,

non-fulfillment, or breach of this Agreement. Approval to join the Platform is **not**

a guarantee or endorsement of your business by StoreDash.

6. Responsibility and Hold-Harmless

• You are **solely responsible** for your products, their quality, safety, legality,

and fulfillment, and for your dealings with Stores and carriers.

• You agree to **indemnify, defend, and hold harmless** StoreDash and its owner from any

claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising

out of: your products; your failure to fulfill orders; your breach of this Agreement;

or your violation of any law or the rights of any third party. **If your actions or

products get StoreDash sued, you — not StoreDash — are responsible for the costs.**

7. Relationship to Terms & Conditions

If this Agreement conflicts with the StoreDash Terms and Conditions, the Terms and

Conditions control. Nothing in this Agreement makes StoreDash liable for your acts or

omissions, and nothing in this Agreement makes StoreDash a seller, buyer, or shipper.

8. Termination

Either party may end this relationship at any time. StoreDash may suspend or terminate

your access at its discretion. Provisions that should survive (especially Sections 6

and 7) survive termination.

9. Governing Law

This Agreement is governed by the laws of the State of California. Disputes will be

resolved in the state or federal courts located in California.

10. Acceptance

By registering as a Manufacturer and using the Platform, you confirm that you have read,

understood, and agree to this Manufacturer Agreement and the StoreDash Terms and

Conditions.
